Effective Date: on signing
Designer agrees to create and deliver the following website design materials (“Deliverables”): website layout and visual design; branding elements included in the project; graphics, images, or files created specifically for the project; exported website files (HTML/CSS, images, or platform-specific files); and: an eight-flavor e-commerce website (storefront, wholesale page, recipe & community section, policy pages) plus product photography for the Mauii Sauce line. This Agreement covers design only. It does not include hosting, domain registration, coding or development beyond the agreed-upon design, maintenance, updates, or technical support.
Upon completion and full payment, Designer will deliver the final design files via Email Download link. Once delivered, the Client is solely responsible for installation, hosting, setup, and ongoing management.
Upon full payment, Designer grants Client full ownership of the final design files and a perpetual, irrevocable, worldwide, non-exclusive license to use, modify, publish, or transfer the design. Designer retains its preliminary drafts, working/source files, methods, tools, and processes, and any materials not in the final Deliverables. Designer may show the project in their portfolio unless Client asks otherwise in writing.
Designer is not responsible for hosting, domain issues, platform updates, security breaches, future edits, third-party platform/plugin/app changes, data loss or downtime, or any technical issue after delivery. Any future work is a separate agreement.
Invoices are payable via the third-party processor (e.g. Stripe) on the invoice; processor fees are included unless noted. Total Project Fee: $1,000. Payment Schedule: 100% at go-live. Final files will not be delivered until payment is received in full.
Includes 2 rounds of revisions. Additional revisions billed at $75 per hour.
Client agrees to provide all required content, images, branding, and instructions in a timely manner. Delays may extend the timeline.
Either party may terminate with written notice. If terminated, Client pays for all work completed to that date and Designer retains ownership of unfinished work.
Each party will protect the other’s non-public business information with reasonable care and use it only to perform or receive the Services (excluding information that is public, already known, independently developed, or legally required to be disclosed).
This Agreement is the full understanding between the parties and supersedes prior discussions; changes must be in writing and signed by both parties. Governed by the laws of the State of North Dakota.
The parties agree to do business electronically. Typing your name below and submitting this Agreement is your legal signature and reflects your intent to be bound, with the same effect as a handwritten signature under the U.S. ESIGN Act and the North Dakota Uniform Electronic Transactions Act (N.D.C.C. ch. 9-16). You may request a paper copy. The signed copy, with the recorded date and time, is an original for all purposes.
